By downloading, installing, or using the StayFit mobile application (“App”) or the StayFit website at getstayfitapp.com (“Website,” and together with the App, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Services. StayFit is operated by Nabi Ventures LLC, a single-member limited liability company organized under the laws of the State of Illinois (“StayFit,” “we,” “us,” or “our”). These Terms constitute a legally binding agreement between you and Nabi Ventures LLC.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms in the App or on the Website and updating the version number. Your continued use of the Services following any changes constitutes acceptance of those changes.
To create an account, you must be at least 13 years old (or, for users in the EU/EEA, the applicable digital consent age in your member state, which may be up to 16). You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@getstayfitapp.com of any unauthorized use of your account or any other security breach.
StayFit offers the following subscription tiers:
Prices may vary by region and are subject to change. The current price is always displayed before purchase.
New subscribers may be eligible for a 3-day free introductory trial. During the trial, you will have full access to the features of the selected tier. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid subscription and you will be charged. One free trial per subscription group per Apple ID applies.
Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current billing period. For App Store subscriptions, cancel through your Apple ID Account Settings. For web subscriptions purchased through Stripe, cancel through your StayFit dashboard at getstayfitapp.com/dashboard/subscription. Cancellation takes effect at the end of the current billing period; you retain access to paid features until that date.
In-app subscriptions and StayFit Coin purchases are processed through the Apple App Store under Apple's terms. Web subscriptions and wallet transactions are processed by Stripe under Stripe's terms. We do not store your full payment card details.
App Store purchases(subscriptions, StayFit Coins, and other in-app purchases): Refunds are handled by Apple at Apple's discretion through Apple's refund process. StayFit cannot issue refunds for purchases made through the App Store. To request a refund, visit reportaproblem.apple.com.
Web/Stripe purchases: No refunds are provided for partial billing periods. If you cancel, you retain access to paid features through the end of your current billing period.
EU/EEA/UK consumers: Digital content (including StayFit Coins and digital creator content) is supplied immediately. By purchasing, you expressly consent to immediate performance and acknowledge that you lose your 14-day right of withdrawal once performance begins. Subscriptions may be cancelled as described above.
We may change subscription prices from time to time. Any price change will take effect at the start of your next billing period following notice. For App Store auto-renewing subscriptions, Apple may require your consent before a price increase takes effect, in accordance with Apple's policies.
StayFit Coins (“Coins”) are a virtual, in-app currency. Coins have no monetary value, are not your property, and represent a limited, personal, non-transferable, revocable license to access certain digital features within the App. Coins are sold as consumable in-app purchases through the Apple App Store in the following bundles:
No cash value. Coins cannot be redeemed, exchanged, withdrawn, or converted into money or any item of monetary value outside the App, except through in-App mechanics expressly provided by StayFit (such as purchasing creator content or staking challenges). Coins are not transferable between accounts except through designated in-App features.
Types of Coins.Coins may be obtained through purchase, promotional offers, quest rewards, seasonal events, or referral rewards (“earned Coins”), or as challenge winnings (“wager-winning Coins”). Wager-winning Coins may be spent within the App but can never be withdrawn or converted to cash. See Section 8 for details.
No refund once spent.Coins that have been spent (on content purchases, challenge stakes, or other in-App uses) are non-refundable. Refunds for unused purchased Coins follow Apple's in-app purchase refund process at Apple's discretion.
Account closure. Coins have no value upon account termination. If your account is deleted or terminated, any remaining Coin balance is forfeited with no compensation.
Anti-abuse. We may suspend, adjust, or revoke Coin balances obtained through fraud, error, chargeback, exploitation, or any violation of these Terms.
StayFit provides a wallet feature that allows users to deposit real money and, for eligible creators, to withdraw earnings.
You may deposit funds into your wallet via Stripe. Deposits are subject to a minimum of $5.00 and a maximum of $500.00 per transaction, with a maximum wallet balance of $1,000.00. Wallet funds may be used for content purchases or subscription payments within the App.
All real-money transactions (card purchases and creator payouts) are processed by Stripe, Inc. and, for creators, through Stripe Connect under the Stripe Services Agreement and the Stripe Connected Account Agreement. StayFit does not take possession of, hold, or control your funds outside of the Stripe platform, does not operate a bank or money-transmission service, and is not a money transmitter. Funds are held and disbursed by Stripe, a licensed payment service provider. StayFit Coins are a virtual currency with no cash value and are never funds, deposits, or stored value of money (see Section 4). We do not store your full credit card number or bank account details on our servers. We retain only Stripe customer and transaction identifiers.
Eligible creators who wish to withdraw earnings must complete Stripe Connect Express onboarding, which includes identity verification (KYC), providing a valid payout destination (bank account or debit card), and any required tax information. By completing Stripe Connect onboarding, you agree to the Stripe Connected Account Agreement in addition to these Terms. StayFit does not store your full bank account or identity verification details.
Payouts may be requested on demand or scheduled automatically (monthly or biweekly). The default minimum payout threshold is $25.00. Payouts are processed as Stripe transfers to your connected account.
StayFit charges a platform fee of 30% on creator content sales. The creator receives 70% of each sale. The applicable fee is disclosed before a sale is completed.
Purchased, earned, and wager-winning StayFit Coins are not wallet cash and are never withdrawable. Only eligible real-money creator earnings (from content sales and coaching fees) are withdrawable through Stripe Connect. These are two separate systems, and Coins can never be converted to cash or withdrawn.
Creators are solely responsible for taxes on their earnings. Where required, our payment processor (Stripe) will provide applicable tax forms (such as Form 1099-K) based on federal and state thresholds. StayFit does not provide tax advice.
We may place holds on, delay, or reverse payouts and recover amounts in cases of suspected fraud, chargebacks, disputes, error, or violation of these Terms.
StayFit provides a marketplace where creators may list digital content (such as workout programs, training plans, and photos) for purchase by other users. StayFit is the platform and venue for these transactions and is not the author, seller, or endorser of creator content.
If you list content for sale, you represent and warrant that you own or have the necessary rights to the content, that the content is lawful and does not infringe any third party's intellectual property rights, and that the content complies with these Terms and all applicable laws. For fitness or coaching content, see the additional requirements in Section 7.
Creators retain ownership of their content. By listing content on the marketplace, you grant StayFit a non-exclusive, worldwide license to host, display, distribute, and promote the content within the Services. Buyers receive a limited, personal-use license to access the purchased content within the App.
Creators may not list content that is illegal, infringing, harmful, sexually explicit, hateful, medically dangerous, or misleading. We reserve the right to remove content and suspend or terminate creator accounts for violations.
Digital content is delivered immediately upon purchase. Purchases made with StayFit Coins are subject to the Coin refund terms in Section 4 (non-refundable once spent). Purchases made by card are subject to the refund terms in Section 3. For EU/EEA/UK buyers, the digital content withdrawal rules in Section 3 apply.
If you believe that content on the marketplace infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (DMCA) to our designated copyright agent at support@getstayfitapp.com. Your notice must include: (a) identification of the copyrighted work; (b) identification of the infringing material and its location; (c) your contact information; (d) a statement of good faith belief that the use is not authorized; and (e) a statement under penalty of perjury that the information is accurate and that you are the copyright owner or authorized to act on their behalf.
To report copyright infringement, send a notice meeting the requirements of 17 U.S.C. §512(c)(3) to our designated agent at support@getstayfitapp.com (and postal address in Section 22). We will respond to valid notices and terminate repeat infringers.
StayFit does not endorse, verify, or guarantee the quality, accuracy, safety, or effectiveness of creator content. StayFit does not guarantee any results from using creator content. Your use of creator content is at your own risk.
Coaching services made available through StayFit are provided by independent third-party coaches, not by StayFit. StayFit is a platform that connects users with coaches and is not a party to, and is not responsible for, any coaching relationship, advice, program, or outcome.
Coaches are independent and solely responsible for their services. By offering coaching through StayFit, you represent that you hold the certifications and qualifications you claim and are legally permitted to provide your services. Coaches must comply with all applicable laws and must not provide medical diagnosis or treatment. We strongly recommend that coaches maintain appropriate professional liability insurance. StayFit does not provide such insurance and is not responsible for coaches' services (see the disclaimers in this Section).
Where StayFit indicates that a coach's certification has been “verified,” this means only that StayFit has performed a reasonable review of the credentials the coach submitted (such as checking the certification type, number format, and expiration date). Verification is not a guarantee of the coach's qualifications, competence, safety, or suitability for any particular client. NCCA-accredited certifications (such as NASM, ACE, ACSM, NSCA, AFAA, and NETA) may be auto-approved. Other certifications are subject to standard or manual review.
If you engage a coach through StayFit, you acknowledge that: (a) you should consult a qualified healthcare provider before beginning any exercise program; (b) coaching is informational and educational, not medical, physical therapy, or professional fitness advice; (c) you assume all risks associated with physical activity; and (d) StayFit is not responsible for the acts, omissions, or advice of any coach.
Coach subscription pricing, client tiers, and payout terms are governed by Sections 3 and 5 of these Terms. StayFit's platform fee applies to coaching fees as described in Section 5.
StayFit allows users to create and participate in fitness challenges. Challenge stakes use StayFit Coins, a virtual currency with no cash value (see Section 4). Challenge outcomes are determined solely by measurable, skill-based fitness activity (such as workouts completed, steps taken, calories burned, volume lifted, or streak maintained) and never by chance. Coins won in a challenge can be spent only within the App and can never be withdrawn or redeemed for money. Challenges are intended as bona fide skill-based accountability contests and not as gambling, wagering, or a lottery. StayFit may modify, suspend, or disable staked challenges, in whole or in part, in any jurisdiction where required by law.
Participants may choose to stake equal amounts of StayFit Coins on a challenge. The minimum stake is 50 Coins. When a challenge concludes, the winner receives the staked Coins as wager-winning Coins. Wager-winning Coins may be spent within the App (on content purchases or future stakes) but can never be withdrawn, converted to cash, or transferred to a wallet balance. Stakes use StayFit Coins, a virtual currency with no cash value. Coins cannot be withdrawn or redeemed for money.
You agree to participate in challenges honestly. We reserve the right to void results, revoke winnings, and suspend accounts in cases of cheating, manipulation, or fraud. In the event of a dispute, StayFit may, at its discretion, refund staked Coins to both participants.
We reserve the right to disable staked challenges in jurisdictions where such features may be prohibited or restricted by local law.
The Services allow you to create, upload, and store content including workout logs, progress photos, nutrition logs, journal entries, transformation stories, messages, community food submissions, and other data (“User Content”). You retain ownership of all User Content you create.
By using the Services, you grant us a limited, non-exclusive license to store, process, and display your User Content solely for the purpose of providing the Services. For content you choose to share through social features (stories, public profile, leaderboards), you grant us a license to display that content to the intended audience. We will not sell or use your User Content for advertising or marketing purposes.
You are solely responsible for your User Content. You represent and warrant that you have the right to submit it and that it does not violate any law or infringe any third party's rights.
StayFit includes social features such as follow and friend connections, public profiles, challenges, leaderboards, direct messages, group chats, transformation stories, kudos, reactions, comments, and community food contributions. By using these features, you agree to the following:

We reserve the right to investigate violations and to suspend or terminate accounts that violate this Acceptable Use Policy. We provide reporting and blocking tools within the App; use them if you encounter objectionable content or behavior.
StayFit may offer a referral program that rewards users for referring new subscribers. Referral rewards (such as free subscription days or Coin credits) have no cash value and are subject to these Terms. You may not engage in self-referrals, create fake accounts to earn referral rewards, or use deceptive methods to generate referrals. We reserve the right to modify, suspend, or terminate the referral program at any time and to revoke rewards obtained through fraud or abuse.
StayFit includes AI-powered features such as workout plan generation, food photo macro estimation, natural language food logging, barcode scanning with nutritional lookups, AI chat assistant, and recovery suggestions. These features are provided for informational and convenience purposes only.
AI-generated content is not a substitute for professional medical, nutritional, or fitness advice. Macro estimates from food photos, text descriptions, and barcode scans are approximate and should be reviewed and edited before saving. Workout plans are generated based on your personal fitness data and are not anonymized or aggregated, but your name and email are not sent to the AI provider. AI chat responses are generated by a language model and may contain inaccuracies.
Coaching provided by coaches through the App, and AI-generated guidance, are for informational and educational purposes only. They are not medical, physical therapy, or professional fitness advice. Always consult a qualified healthcare provider or certified fitness professional before beginning any new exercise program, making significant changes to your diet, or if you experience pain, injury, or other symptoms during exercise.
You acknowledge that you exercise at your own risk and that StayFit is not responsible for any injury, illness, or adverse health outcome resulting from your use of the Services, AI features, or coaching.
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal information. By using the Services, you agree to the collection and use of information in accordance with our Privacy Policy.
The App, Website, and all related software, content, designs, and trademarks (including the “StayFit” name and logo) are owned by StayFit or its licensors and are protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the App and Website for their intended purpose, subject to these Terms. All rights not expressly granted are reserved. You may not copy, modify, distribute, or create derivative works based on the Services without our written consent.
If you access the App through the Apple App Store, the following additional terms apply:
You may delete your account at any time through the App (Settings, then Manage Account, then Delete Account) or through the Website dashboard (Dashboard, then Profile). Upon account deletion, all your personal data, workout history, photos, social connections, messages, Coin balance, and other User Content will be permanently removed from our servers within 30 days, subject to the retention exceptions described in our Privacy Policy (payment, tax, fraud, and legal records).
We reserve the right to suspend or terminate your account at any time if you violate these Terms, engage in fraud or abuse, or engage in conduct that we determine to be harmful to other users or the Services. Upon termination by us, any remaining Coin balance is forfeited.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU USE THE SERVICES AT YOUR OWN RISK.
WE DO NOT WARRANT OR GUARANTEE THE QUALITY, ACCURACY, OR EFFECTIVENESS OF ANY CREATOR CONTENT, COACHING SERVICES, OR AI-GENERATED OUTPUT AVAILABLE THROUGH THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL STAYFIT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE LAWFULLY EXCLUDED OR LIMITED.
You agree to indemnify, defend, and hold harmless StayFit and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your User Content; (b) your use or misuse of the Services; (c) your violation of these Terms or any applicable law; or (d) if you are a creator or coach, the content or services you provide through the Services.
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions.
Informal Resolution: Before filing any formal legal proceeding, you agree to contact us at support@getstayfitapp.com and attempt to resolve the dispute informally for at least 30 days. Most disputes can be resolved without formal proceedings.
Jurisdiction: Any disputes arising under or in connection with these Terms that cannot be resolved informally shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Illinois.
